Terms of Service
Please read these Terms of Service carefully before using the SpycAI platform. By using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the SpycAI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
These Terms constitute a legally binding agreement between you ("Customer", "you") and SpycAI Pvt Ltd ("SpycAI", "we", "us"), a company incorporated in India (CIN: U72900MH2026PTC000000).
2. Description of Service
SpycAI provides a SaaS platform comprising three AI agents:
• WhatsApp Sales Agent — automated customer engagement via WhatsApp Business API
• AI SDR Outreach Agent — automated lead prospecting, personalised outreach, and meeting booking
• Voice Support Agent — AI-powered inbound and outbound voice call handling
The Service is provided on a subscription basis as described on our Pricing page. Features available to you depend on your selected plan.
3. Account Registration & Security
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us immediately at support@SpycAI.com if you suspect any unauthorised access to your account. We are not liable for any loss resulting from unauthorised use of your account where you have failed to maintain credential security.
Each account is for a single business entity. Sharing accounts across multiple organisations is prohibited.
4. Subscription, Billing & Payment
Subscriptions are billed monthly or annually in advance. Prices are as listed on our Pricing page and are subject to change with 30 days' notice.
Indian customers are billed in INR via Razorpay. International customers are billed in USD via Stripe. All prices are exclusive of applicable taxes (GST at 18% applies to Indian customers).
Overages beyond your plan limits are billed at the rates published on our Pricing page: ₹0.50 per WhatsApp conversation, ₹8 per voice minute, ₹12 per SDR lead, and ₹500 per meeting booked via SDR.
Invoices are issued on the billing date and are due immediately. Failure to pay within 7 days may result in service suspension. Accounts suspended for non-payment for more than 30 days may be terminated.
5. Free Trial
We offer a 7-day free trial with full access to Growth plan features. No credit card is required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. Trial data is retained for 7 days after trial expiry, after which it may be permanently deleted.
6. Acceptable Use Policy
You agree not to use the Service to:
• Send unsolicited bulk messages (spam) in violation of WhatsApp's Business Policy or applicable law
• Harass, threaten, or deceive end-users
• Transmit malware, viruses, or malicious code
• Scrape or harvest data from third-party platforms in violation of their terms of service
• Impersonate any person or entity
• Violate any applicable law, including the IT Act 2000, TRAI regulations, or DPDP Act 2023
• Process sensitive personal data (health, financial, biometric) without appropriate safeguards and our written consent
• Resell or sublicense the Service without our prior written approval
We reserve the right to suspend or terminate accounts that violate this policy without prior notice.
7. WhatsApp & Meta Platform Compliance
Use of the WhatsApp Sales Agent is subject to Meta's WhatsApp Business Policy and Commerce Policy. You are solely responsible for ensuring your use of WhatsApp through our platform complies with Meta's policies, including obtaining proper opt-ins from end-users before sending messages.
SpycAI is not responsible for any suspension or restriction of your WhatsApp Business Account by Meta due to policy violations on your part.
8. Data Ownership & Processing
You retain full ownership of all data you upload to the platform ("Customer Data"), including knowledge base documents, conversation histories, and lead lists.
You grant SpycAI a limited, non-exclusive licence to process Customer Data solely to provide the Service. We act as a data processor on your behalf for Customer Data. Our processing activities are governed by our Privacy Policy and applicable data protection law.
We may use anonymised, aggregated usage data to improve our AI models and platform, provided such data cannot be used to identify you or your customers.
9. Intellectual Property
All intellectual property rights in the SpycAI platform, including software, AI models, documentation, and branding, are owned by SpycAI Pvt Ltd or its licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
You retain all intellectual property rights in your Customer Data and any content you create using the Service.
10. Service Availability & SLA
We target 99.9% monthly uptime for Pro plan customers (as defined in the SLA addendum provided at contract signing). Starter and Growth plan customers receive commercially reasonable uptime without a formal SLA guarantee.
Scheduled maintenance windows are communicated at least 48 hours in advance via email and our status page. Emergency maintenance may occur without advance notice.
Uptime is measured excluding scheduled maintenance, force majeure events, and outages caused by third-party services (Meta, Twilio, Deepgram, etc.).
11. Limitation of Liability
To the maximum extent permitted by applicable law, SpycAI's total liability to you for any claims arising under or related to these Terms shall not exceed the total fees paid by you in the 3 months preceding the claim.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless SpycAI and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any content or data you submit to the platform.
13. Termination
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a billing period (see our Refund Policy for exceptions).
We may terminate or suspend your account immediately if you breach these Terms, fail to pay, or if required by law. Upon termination, your right to use the Service ceases immediately. Your data will be available for export for 30 days after termination, after which it will be permanently deleted.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Mumbai, Maharashtra.
Nothing prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
